Delaware has been widely regarded as the leading forum for incorporation in the United States. More than half of all publicly traded U.S. companies have made Delaware their corporate home. Recent changes in regulatory policies, controversial judicial decisions, and tax implications have prompted a significant number of companies to seek incorporation elsewhere.

On March 25, 2025, bipartisan legislation was signed effecting important changes to the Delaware General Corporation Law (“DGCL”). This landmark legislation is said to be designed to reduce excessive stockholder litigation and embody Delaware’s balanced, responsive, and business-friendly approach to corporate law.

This CLE program addresses the recent and controversial changes to the Delaware General Corporation Law (DGCL). Panelists share their expertise as they examine the significant amendments and developments including, a new safe harbor in controlling stockholder transactions, changes involving director independence and transactions with directors and officers, and revisions to stockholder rights to inspect books and records.
