Strategic Succession: Navigating the Legal and Psychological Framework of Business Exit Strategies

This 2-hour CLE program begins with an overview of buy-sell agreements and the tax consequences for the buyer and seller depending on how the agreements have been designed.  Speakers will address the valuation challenges shareholders of corporations with insurance-funded stock-redemption agreements may now face as a result of the very different conclusions reached by the 11th Circuit in the Blount case and the 8th Circuit in the case of Connelly v. United States. The speakers will offer guidance for practitioners and appraisers to help their clients address those challenges.

In the second hour of the program, panelists comprised of estate planning, fiduciary trust, and business planning attorneys, will delve into the psychological complexities of business succession planning from the perspectives of current owners as well as future inheritors. Panelists aim to illuminate the emotional and practical challenges many owners encounter when contemplating exit strategies, including strategic sales, the implementation of employee stock ownership plans (ESOPs), and familial gifting. Moreover, the presentation will extend to the pivotal role practitioners play in guiding their clients through these transitions, offering insights into overcoming common obstacles and facilitating a smooth passage to future generations. Panelists will highlight strategies to increase the likelihood of a harmonious transfer of leadership and legacy, helping to solidify the success of the business beyond its current stewardship.
